These Terms govern your use of the Digidarts website and the services we provide. By engaging with us, you agree to these terms.

1. Definitions and Acceptance

**"Agency," "We," "Us," or "Digidarts"** refers to the digital marketing agency providing services.

**"Client" or "You"** refers to the individual or entity engaging with the Agency for services.

**"Services"** refers to the digital marketing activities outlined in a specific Service Agreement, Proposal, or Statement of Work (SOW).

Acceptance: By using our website or engaging the Agency for any Service, you agree to be bound by these Terms and Conditions.

2. Scope of Work and Service Agreements

2.1 Execution of Services
The specific Services, deliverables, timelines, and fees will be defined in a separate written document (SOW or Proposal). In case of conflict, the SOW takes precedence over these T&Cs.
2.2 Changes to Scope (Change Requests)
Any work outside the agreed-upon scope must be documented in a written Change Request and agreed upon by both parties. Additional fees and revised timelines may apply.

3. Financial Terms

3.1 Fees and Payment
The Client agrees to pay the Agency the fees as outlined in the SOW. Invoices are due Net 15 days from the date of issue. Failure to pay may result in suspension of Services until the account is current.
3.2 Media Spend Responsibility
All media costs (ad spend) are the direct responsibility of the Client and shall be paid by the Client to the respective advertising platform (e.g., Google, Meta). The Agency only charges for management fees.

4. Client Obligations

4.1 Necessary Access and Materials
The Client must provide timely access to necessary accounts, systems (CMS, Analytics, Ad Accounts), and required materials (logos, content input) for the Agency to perform the Services efficiently. Delays caused by lack of access may impact timelines.
4.2 Accuracy of Information
The Client warrants that all information, content, and materials provided to the Agency are accurate, legally compliant, and do not infringe upon any third-party rights.

5. Intellectual Property

5.1 Client Ownership
Upon full payment, the Client owns all final deliverables (e.g., website code, final ad creative, written content) developed specifically for the Client under the SOW.
5.2 Agency Ownership (Tools & Methods)
The Agency retains ownership of all proprietary tools, methodologies, templates, models, and background intellectual property utilized to perform the Services.

6. Liability and Warranties

The Agency performs Services to the highest professional standard but cannot guarantee specific results (e.g., specific search ranking positions, sales volume). Digital marketing performance is subject to external factors outside the Agency's control (e.g., search engine algorithm changes, market competition).

In no event shall the Agency be liable for any indirect, incidental, consequential, or punitive damages. The Agency's total liability to the Client shall not exceed the total fees paid by the Client to the Agency in the three months immediately preceding the event giving rise to the claim.
